1. Acceptance of Terms
These Terms & Conditions ("Terms") form a binding agreement between SEINEX GROUP LTD, a company duly incorporated under the laws of the Republic of Uganda (Registration No. 80034664867691), with its registered office at Wakiso, Kasangati Town Council, Masooli, Luteete-Kelezia, Uganda ("SEINEX GROUP", "we", "us", or "our"), and any person or business that accesses our website or subscribes to one of our Services ("you" or "your"). By accessing our website, making an enquiry, or subscribing to a Service, you agree to be bound by these Terms.
2. Definitions
"Services" means any current or future software product or professional service offered by SEINEX GROUP, including POSUnity. "Customer" or "Tenant" means the business subscribing to a Service. "Owner" means the individual authorised to act on the Tenant's behalf.
3. Use of the Website
You may browse our website and use our contact, enquiry, and job application forms for legitimate business or recruitment purposes. You must not misuse the website, attempt to gain unauthorised access to it, interfere with its operation, or submit false or misleading information through it. Content on the website is provided for general informational purposes and does not constitute a binding offer unless expressly stated.
4. Our Products & Services
SEINEX GROUP designs, develops, and provides smart software solutions to help businesses automate operations and scale, including POSUnity, our multi-tenant, cloud-hosted point-of-sale and business management platform, and other current or future products and professional/custom development services. Features and availability may vary by plan and may be added, modified, or retired from time to time as our Services evolve.
5. Account Registration & Onboarding
Depending on the Service, an account may be self-registered or created by SEINEX GROUP following a sales engagement. Whoever registers or onboards an account is responsible for the accuracy of the information provided and for promptly notifying us of any changes to the Tenant's business details.
6. Subscription, Fees & Billing
Where a Service is paid, your plan, pricing, billing cycle, usage limits, and any one-time setup or installation fee will be disclosed to you before payment. Fees are billed in advance for the billing cycle selected and are payable through the methods made available via our approved payment processors. Failure to pay may result in a grace period followed by suspension of access. Prices may change for future billing cycles with reasonable prior notice and will not apply retroactively to periods already paid for. Except where required by law or expressly stated otherwise, fees already paid are non-refundable, subject to our Refund Policy.
7. Free Trials
Where offered, trial access is provided "as is" and may be limited, modified, or ended at any time before its scheduled expiry if we reasonably suspect misuse.
8. Data Ownership & Use
As between the parties, you retain all rights to the business data you enter into a Service. SEINEX GROUP acts as a data processor in respect of that data and will only use it to provide, maintain, and improve the Service, as further described in our Privacy Policy. Upon termination of a subscription, your data will be retained for a reasonable period to allow export, after which it may be permanently deleted in accordance with our data retention practices.
9. Acceptable Use
You agree not to:
- Use our website or any Service for any unlawful purpose, or in a way that infringes the rights of others;
- Enter false, fraudulent, or misleading information into any record;
- Attempt to gain unauthorised access to another customer's data, another user's account, or any part of our infrastructure;
- Introduce viruses, malware, or attempt to disrupt, overload, or interfere with our website or Services; or
- Reverse-engineer, decompile, or attempt to extract the source code of a Service, except to the extent permitted by law.
Use of a multi-user Service by a Tenant's staff may additionally be governed by that product's User Policy, which every user must accept before use. The Tenant is responsible for ensuring its staff comply with it.
10. Intellectual Property
Our website and Services, including their software, design, trademarks (including "SEINEX GROUP" and "POSUnity"), and underlying technology, are and remain the exclusive property of SEINEX GROUP LTD or its licensors. Nothing in these Terms transfers any intellectual property rights to you, save for a limited, non-exclusive, non-transferable right to use a Service for your internal business operations during your subscription term.
11. Service Availability
We use commercially reasonable efforts to keep our website and Services available, but do not guarantee uninterrupted or error-free operation. Scheduled maintenance will, where practicable, be communicated in advance.
12. Limitation of Liability
To the maximum extent permitted by applicable law, SEINEX GROUP's aggregate liability arising out of or relating to these Terms or a Service shall not exceed the total fees you paid for that Service in the twelve (12) months preceding the event giving rise to the claim. SEINEX GROUP shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising from the use of, or inability to use, our website or Services. Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded or limited under applicable law.
13. Termination
Either party may terminate a subscription in accordance with the cancellation process made available for that Service or by written notice. We may suspend or terminate access immediately if you materially breach these Terms or any applicable product-specific terms, fail to pay outstanding fees after the applicable grace period, or engage in conduct we reasonably believe exposes us, other customers, or a Service to harm or legal risk.
14. Refunds
Refunds for payments made to SEINEX GROUP are governed by our Refund Policy, which forms part of these Terms by reference.
15. Governing Law & Disputes
These Terms are governed by the laws of the Republic of Uganda. The parties submit to the exclusive jurisdiction of the courts of Uganda for any dispute arising out of or in connection with these Terms, without prejudice to any right to first attempt resolution through good-faith negotiation.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated effective date on this page, and, where required, we will seek renewed acceptance within the relevant product. Continued use after a change takes effect constitutes agreement to it.
17. General
If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect. These Terms, together with our Privacy Policy, Refund Policy, and any applicable product-specific terms, constitute the entire agreement between the parties regarding our website and Services.
